WHEREAS
Rbw Farms operates chicken farming, buying and selling chickens.
Investors provide funding to serve as working capital for the business, and Rbw Farms agrees to repay investors 5% of profits daily from their investments in poultry projects, which can be paid on a rolling daily basis and extended to 365 days.

Rbw Farms shall carry out its obligations under this contract with utmost good faith.

1.4.
Rbw Farms shall carry out its obligations under this contract with reasonable skill, care, and diligence.
1.5.
Rbw Farms shall ensure that it carries out thorough due diligence on the investor and put in place adequate Know Your Customer mechanisms in the same regard.
1.6.
Rbw Farms shall ensure that it puts in place proper anti-money laundering mechanisms.

3.
TERMS OF
PAYMENT
3.1.
Rbw Farms will pay investors 5% of the profits on their investment very day.
3.2.
Investors can freely withdraw the farm's profits within the prescribed service time.
4.
DURATION OF
CONTRACT
4.1.
This contract shall expire upon the fulfillment of the payment terms spelt out in Clause 3 above.

5.1.
Rbw Farms undertakes that its services or those offered by it do not facilitate money-laundering and cannot be used by any person to commit or facilitate the crime of money laundering and financing of terrorist activities.

6.1.
Both parties agree to keep the contents of this contract confidential and shall not reveal shall not disclose any information hereunder to any unauthorized third parties in line with the Non-Disclosure Agreement which is Annex 2 to this contract.

7.1.
Nothing in this Agreement affects the Parties’ proprietary rights/
Intellectual Property in particular but not limited to domains,
trademarks, patents, source codes and software, in existence prior to the date hereof.

8.
LIABILITY AND
INDEMNITY
8.1.
Each Party shall be liable to the other Party for damages it causes by any breach of provisions of this Agreement. Liability as between the Parties is limited to actual damage suffered (both direct and indirect damages).

This contract shall be construed in accordance with the Laws of
India .

DISPUTE
RESOLUTION

.1.
All disputes arising out of or in connection with this agreement shall be resolved amicably as much as possible.

Where clause 9.1 fails, the dispute referred to as recommended above, they shall then refer the same to arbitration under the

Arbitration and Conciliation Act, 2000 laws of India .
11.
ENTIRETY

.1.
This Agreement constitutes the entire Agreement between the Parties with respect to the subject matter of the Agreement. Amendments and additions to this Agreement shall be invalid unless in writing.
12.
SEVERABILITY
1

.1.
Should any provision of this Agreement be or become invalid, inoperative, or unenforceable, in its entirety or in part, the validity of the remaining provisions shall remain unaffected. The invalid, inoperative or unenforceable provision shall be deemed replaced by a provision which is legally permissible and corresponds most closely, in respect of place, time, amount, and scope, to what the Parties would have agreed had they known the invalidity, inoperability or unenforceability of the provision in question in order to reach the same economic objective. The Parties shall without undue delay confirm vis-à-vis each other the content of the provision which replaces the invalid, inoperative or unenforceable provision. The same shall apply in the event of any missing provisions.

The provisions of this agreement shall not be circumvented by either Party.

VARIATION

.1.
The terms of this Agreement, including the payments hereunder may be modified, limited, extended, or terminated by agreement of the parties. No variation of this Agreement shall be effective unless it is agreed in a formal amendment signed by both parties.
15.
NO IMPLIED
WAIVERS

.1.
Failure by any party at any time to require performance by any other party of any provision of this Agreement shall in no way affect the right to require full performance any time thereafter, nor shall the waiver by any party of a breach of any provision of this Agreement constitute a waiver of any succeeding breach of same or any other provision, nor constitute a waiver of the provision itself.

16.
FORCE
MAJEURE

.1.
Neither party shall be liable for any failure to perform or any delay in performing its obligations under this Agreement where the cause of such failure or delay is beyond that party’s reasonable control. The
party claiming inability to perform its obligations for this reason shall immediately give written notice to the other.
17.
TERMINATION OF
CONTRACT

.1.
Each party may terminate this contract by giving 3 (three) weeks’
notice.
